Terms of Service

These Terms govern your use of services provided by Nurvel Networks ("Nurvel Networks", "we", "us"). By creating an account, purchasing a plan, or using any service, you agree to these Terms. If you are agreeing on behalf of an organization, you confirm you have authority to bind that organization.

1. Services

We provide Proxy Infrastructure, data products, and professional development services as described on our website and in any applicable order form or statement of work. Where an executed agreement conflicts with these Terms, the executed agreement prevails.

2. Eligibility and accounts

• Services are offered to businesses and to individuals aged 18 or over.
• You are responsible for the accuracy of account information and for all activity under your credentials.
• You must notify us promptly of any suspected unauthorized access.
• Credentials may not be shared, resold, or sublicensed without written permission.

3. Acceptable use

You agree not to use our services to:

• Violate any applicable law or regulation in any relevant jurisdiction.
• Access systems or data without authorization, or circumvent security controls.
• Distribute malware, conduct denial-of-service attacks, or engage in credential stuffing or brute-force activity.
• Send unsolicited bulk communications in breach of anti-spam law.
• Infringe intellectual property or misappropriate confidential information.
• Collect personal data without a valid lawful basis, or in breach of a website's binding terms.
• Facilitate fraud, harassment, exploitation of minors, or trade in illegal goods.

We investigate credible reports of misuse and may suspend access immediately where we reasonably believe a violation is occurring, is imminent, or presents risk to our network or other customers.

4. Fees, billing, and taxes

• Fees are as stated on your plan or order form. Prices exclude applicable taxes unless stated otherwise.
• Subscriptions renew automatically for the same term unless cancelled before renewal.
• Plan changes take effect immediately with prorated billing.
• Overage beyond plan allowances is billed at the published rate for your tier.
• Invoices are due on receipt unless net terms have been agreed in writing. We may suspend service on accounts more than 15 days overdue after notice.

5. Refunds

Proxy plans carry a 7-day money-back guarantee where less than 10% of allocated bandwidth has been consumed. Data purchases are refundable where the delivered accuracy falls materially below the committed tier threshold, verified by mutually agreed sampling. Professional services are billed against delivered milestones and are non-refundable once a milestone is accepted.

6. Service levels

We target 99.9% monthly availability for paid proxy and API services. Where measured availability falls below that threshold, affected customers may claim service credits against the following billing period. Credits are the sole and exclusive remedy for availability shortfalls. Scheduled maintenance, announced at least 48 hours in advance, is excluded from availability calculations.

7. Data products

Datasets are licensed, not sold. Unless your order form states otherwise:

• You receive a non-exclusive, non-transferable licence to use the data for your own internal business purposes.
• You may not resell, redistribute, or sublicense raw datasets to third parties.
• You remain responsible for ensuring your use of the data complies with applicable privacy and marketing law in your jurisdiction, including honouring opt-out requests.
• Accuracy commitments are stated per tier and measured at the point of delivery.

8. Intellectual property

We retain all rights in our platform, software, documentation, and brand. You retain all rights in content and data you supply to us. For custom development engagements, ownership of deliverables transfers to you on full payment, excluding our pre-existing tools, libraries, and frameworks, which we license to you perpetually for use within the deliverable.

9. Confidentiality

Each party will protect the other's confidential information with at least reasonable care, use it only to perform under these Terms, and not disclose it except to personnel and advisers bound by equivalent obligations. These obligations survive termination for three years, and indefinitely for trade secrets.

10. Warranties and disclaimers

We warrant that we will provide the services with reasonable skill and care, in accordance with applicable law. Except as expressly stated, services are provided "as is" and we disclaim all other warranties to the fullest extent permitted by law, including implied warranties of merchantability and fitness for a particular purpose. We do not warrant that any service will be uninterrupted or entirely error-free.

11. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Each party's aggregate liability arising out of these Terms is limited to the fees paid or payable by you in the 12 months preceding the event giving rise to the claim. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot lawfully be excluded.

12. Indemnity

You agree to indemnify us against third-party claims arising from your breach of these Terms, your unlawful use of the services, or your use of data in violation of applicable law.

13. Suspension and termination

• You may cancel at any time, effective at the end of the current billing period.
• We may suspend or terminate for material breach, non-payment after notice, or where required by law.
• On termination, your right to use the services ends immediately. We will make your account data available for export for 30 days, after which it is deleted in line with our Privacy Policy.

14. Changes to these Terms

We may amend these Terms. Material changes take effect 30 days after notice to account holders by email. Continued use after that period constitutes acceptance. If you do not accept a material change, you may terminate and receive a prorated refund of prepaid, unused fees.

15. Governing law and disputes

These Terms are governed by the laws applicable at our principal place of business, without regard to conflict-of-law rules. The parties will attempt in good faith to resolve disputes through negotiation for 30 days before commencing formal proceedings. Nothing prevents either party from seeking injunctive relief to protect intellectual property or confidential information.
